Corporate Attorney

Role Title: Corporate Attorney Role Type: Contractor Location: Remote (US Only) micro1 is engaging Corporate Attorneys to contribute their legal expertise to a dynamic customer project. In this role, you'll apply your expertise to help train next-generation AI systems. Your work will shape how models learn, reason, and perform through high-quality, real-world input. No prior experience in AI is required — your domain knowledge is what matters. Scope of Work • Review and annotate corporate legal documents — merger agreements, stock purchase agreements, operating agreements, bylaws, and financing documents — to support AI model development. • Draft realistic corporate scenarios, deal hypotheticals, and research memos covering M&A, governance, securities, and entity structuring. • Evaluate AI-generated corporate legal content for accuracy, clarity, and consistency with US corporate law, and provide specific corrections. • Contribute to guidelines and quality standards for corporate legal data used in AI training. • Flag ambiguity, risk, and drafting issues the way you would in live deal work, with clear rationale. • Translate complex corporate legal principles into clear, structured formats suitable for model training. Preferred Qualifications • JD from an accredited US law school. • Active license to practice law in at least one US jurisdiction, in good standing. • 3–10+ years of substantive corporate law experience M&A, securities, corporate governance, commercial contracts, or private financings. • Hands-on experience drafting and negotiating core transactional documents (purchase agreements, financing documents, governance instruments). • US-based practitioner (law firm, in-house, or independent) with demonstrated corporate transactional expertise. • Experience across both buy-side and sell-side M&A. • In-house or general counsel experience at a US company. • Judicial clerkship or law-journal editorial experience. • Experience teaching or training junior attorneys.
